Provider Agreement
Version 2026-07-08. This is the agreement you accept when you register as a data provider on Moyako Data Hub (operated by Hanalytic Limited, "Moyako"). It is recorded against your account with the version, date and IP at acceptance.
1. Who the parties are
You are the data provider (the legal entity identified by your UK company registration number). Moyako operates the marketplace as a facilitator, not a party to the sale: for third-party paid listings you are the merchant of record via Stripe, and Moyako never takes title to your data.
2. Rights warranty
You warrant that, for every dataset you list, you hold all rights necessary to license and distribute it on the terms you select, and that doing so infringes no third party's intellectual-property, database, contractual or other rights. Where your data derives from an upstream source (e.g. OGL, CC-BY), you warrant you comply with that source's terms and you supply the required attribution — which travels to buyers and survives your description edits.
3. No-personal-data warranty
You warrant that your datasets contain no personal data as defined by UK GDPR. Every upload is scanned; a scan pass is not a substitute for this warranty. You will not attempt to list data about identifiable individuals (including via a name, contact detail, or a combination that re-identifies a person).
4. Indemnity
You will indemnify and hold harmless Hanalytic Limited against any claim, loss, liability or cost (including reasonable legal fees) arising from a breach of clauses 2 or 3 — including a third-party IP claim, a data-protection complaint, or a rights-holder notice — in respect of data you listed.
5. Takedown cooperation
You will cooperate promptly with notice-and-action requests. Moyako may suspend a listing (and, for privacy/IP/illegality notices, existing access) pending review, and may remove a listing that is not remedied. You have 7 days to respond to a notice.
6. Resale-rights chain
The licence a buyer accepts is the one you select. You confirm your right to grant it extends through the whole chain (your source → you → the buyer → any redistribution the licence permits).
7. Term & changes
This agreement applies from acceptance and to every listing and version you publish. Material changes are versioned; you re-accept the current version at your next registration or version upload, and the accepted version is recorded each time.
